Matthew Jarvis

Mr. Jarvis has practiced in Albany since joining the firm in 2007. In addition to focusing his practice on Estate Planning, Business, and Commercial Law, he is a Deputy City Attorney and City Prosecutor for the City of Albany.
Estate Planning
Mr. Jarvis represents clients with a variety of estate planning needs. He specializes in developing custom estate plans for individuals and families. His services range from preparing simple wills, to preparing revocable living trusts that avoid probate and allow effective asset management in the event of incapacity. Additionally, he represents clients in probate court and all aspects of administration and settlement of the deceased’s estates and trusts.
Mr. Jarvis assists clients in planning and resolving any situation with a minimum amount of cost and delay. This includes reducing death taxes, providing for succession planning for family farms and businesses, avoiding probate, and providing for asset management in the event of incapacity.
- Wills: Design and preparation of wills, either simple or complex in order to meet your estate planning objectives.
- Powers of Attorney: Preparation of documents necessary to designate an authority for making financial and health care decisions in the event of incapacity.
- Revocable and Irrevocable Trusts: Design, establishment, and funding of trusts as a tool for avoiding probate and accompanying estate administration costs, preventing delay in asset distribution at death, elimination or minimization of estate and inheritance taxes, and providing a structure for the management of assets in the event of incapacity.
- Succession: Assist clients in reorganization of family businesses and farms in order to take advantage of opportunities for tax saving—formation of Limited Partnerships and Limited Liability Companies.
- Estate Counseling: Assisting clients in all estate planning issues, including planning for disabled or incapacitated beneficiaries, maintaining assets through unknown circumstances and changing economic conditions.
Mr. Jarvis provides individuals and families with continuous support throughout the administration and settlement of the deceased’s estates and trusts. His clients include individuals who simply require a small estate proceeding to solve estate settlement and personal representatives of large and complex estates. He also assists trustees of revocable and irrevocable trusts with administration and distribution of trust estates.

Preparation and Filing of Required Documents: Preparation and filing of all necessary documents and notices in a timely manner.
- Accountings: Works closely with clients for payment of claims and expenses in a timely manner. Preparation and filing with the Court and beneficiaries of all required accountings.
- Taxes: Facilitates preparation by the client’s accountant of all necessary federal estate and state inheritance tax returns with the goal of utilizing all expenses and deductions to minimize taxes.
- Planning: Uses a variety of planning techniques to minimize costs and maximize benefits to beneficiaries—including reorganization of business assets.
- Litigation: Represents clients as a plaintiff of defendant, where matters must be determined through litigation.

Business & Commercial Law
Mr. Jarvis represents a wide range of business and corporate clients. He assists clients in formation, real estate sale and lease agreements, contracts, and business litigation.
- Entity Selection: Assist clients in navigating the wide ranging selection of business entities available, including sole proprietorships, joint ventures, limited liability partnerships, general partnerships, limited liability companies, and corporations.
- Formation: Draft all documents necessary to complete formation while resolving issues regarding transfer of business interests and assets. Drafting agreements such as Buy-Sell Agreements and Shareholder Agreements.
- Intellectual Property: Assist in the selection of business names, trademarks, domain names, and protecting ownership of intellectual property.
- Maintenance: Provide for the successful continued operation of the business including holding annual meetings and preparation of minutes. Assist clients in keeping current on governmental filings and the preparation and review of required documents.
- Contract Drafting and Negotiation: Assist clients in all levels of contract work including negotiation, interpretation, and drafting.
- Litigation: Guides clients through resolving a variety of business disputes, including, shareholder claims, breach of contract, enforcement of non-competition agreements, and trademark infringement.
- Creditors’ Rights: Assist businesses and individuals in recovering debts owing, creation of security agreements and security interests, filing liens including construction liens, and assisting creditors dealing with a debtor’s bankruptcy.
Real Property
Mr. Jarvis represents clients in all types of real property disputes.
- Judicial and Non-judicial Foreclosures: Assist secured lenders in foreclosing a security interest in real property judicially and non-judicially by advertisement and sale. In addition, he assists in land sale contract disputes.
- Boundary Disputes and Adverse Possession: Represent clients in establishing or defending against claims of title in land or easement interests by adverse possession.
- Contract Disputes: Assist clients in resolving disputes regarding land sale contracts and earnest money agreements. Represent commercial landlords in enforcement of leases including collection of back rents and eviction.
- Easements: Negotiate and prepare documentation of easements. Represent clients seeking to enforce an easement.

Municipal/Government Law
Mr. Jarvis is a Deputy City Attorney and City Prosecutor representing the City of Albany in criminal cases in municipal court. He also sits on the City of Albany’s Code Enforcement Team assisting the City of Albany and property owners in code compliance.
